1. Acceptance of Terms

By accessing and using Baysart Gold ("the App"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use the App.

Baysart Gold is owned and operated by BAYSART Məhdud Məsuliyyətli Cəmiyyəti (BAYSART MMC), a company registered in the Republic of Azerbaijan under VOEN 1703115231.

1. Definitions

In these Terms & Conditions, the following definitions apply:

  • "Allocated Gold" means real, physical gold that is specifically allocated to a User, identified by weight, and held separately from the Company’s assets.
  • "Platform" means a technology system facilitating order submission, recordkeeping, and display of ownership information.
  • "Custodian" or "Storage Partner" means a third-party entity responsible for physical storage of allocated gold.

1A. Role of the Company

The Executor acts solely as a commodity seller and platform operator. The Executor is not a bank, financial institution, investment company, or deposit-taking entity.

The Services do not constitute an investment product. No fiduciary duty exists between the Executor and the User.

2A. No-commodity ownership and No-Advice Disclaimer

No Investment Disclaimer: This service does not constitute an investment scheme, collective investment vehicle, deposit product, or savings program.

The Platform does not provide commodity ownership advice, financial recommendations, or guarantees regarding the value of gold.

Purchasing Allocated Gold is for commodity ownership purposes only. It is not an "commodity ownership product" and has no profit expectations, value, or price predictions.

2. Description of Service

Baysart Gold is a digital platform for purchase, sale, and custody-based ownership recording of physically backed gold and silver. Our services include:

  • Purchase and sale of physical gold and silver
  • Secure custody and storage of owned precious metals
  • Direct purchase via bank card
  • Real-time precious metals price information
  • Ownership documentation and management tools
  • Optional physical pickup of owned precious metals

3A. Payment and Funds

The Company does not accept, hold, or transmit user funds at any time.

All payments are processed directly by licensed third-party banks and Payment Service Providers (PSPs). The Company has no control over user funds and does not provide internal wallets, stored holdings, or temporary holding of funds.

3. Profile Registration

To use our services, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Complete KYC (Know Your Customer) verification
  • Maintain the security of your Profile credentials
  • Accept responsibility for all activities under your Profile

4. KYC and AML Compliance

Baysart Gold is committed to preventing money laundering and terrorist financing. We require all users to complete identity verification (KYC) before accessing full platform features. We reserve the right to request additional documentation at any time and to suspend accounts that fail to provide required information.

5A. Buy / Sell Procedures

"Buy" means the purchase of real, Allocated Gold or Silver.

"Sell" means the resale of your Allocated Gold or Silver.

Sale proceeds are transferred via third-party payment providers and may be subject to processing delays. Settlement timing is not instant. The Platform does not guarantee liquidity, fixed prices, or immediate settlement.

5. Precious Metals Purchase and Sale Terms

All precious metals (gold and silver) purchases and sales are executed at prevailing market prices plus applicable fees. Prices may fluctuate in real-time based on international markets. Orders are processed on a best-effort basis. Baysart Gold reserves the right to decline any purchase or sale request for any reason, including but not limited to:

  • Insufficient payment authorization for transactions
  • Suspected fraudulent activity
  • Technical errors or system maintenance
  • Regulatory compliance requirements
  • Unavailability of physical bullion inventory

6. Precious Metals Ownership and Custody (Allocated Model)

When you purchase precious metals through the Platform:

  • Ownership of the precious metal passes directly to the User upon purchase execution.
  • The precious metal is allocated and segregated.
  • Allocated Gold is owned exclusively by the User and does not form part of Baysart’s assets nor is it recorded on the Company’s Allocated Gold holdings sheet.

Custody services are provided under secure storage agreements with a designated Custodian / Storage Partner. The Platform acts solely as a technology provider.

7. Fractional Quantities

  • 2. Minimum Quantities and Fractional Holdings: Fractional metal quantities represent proportional allocated ownership and remain backed by physical inventory. However, they are not considered independent products and are not eligible for physical delivery, independent sell-back, or transfer until the respective minimum quantity requirements are met.

8. Precious Metals Conversion (Gold–Silver)

The platform permits the conversion of ownership between different precious metals (e.g., Gold to Silver). Such conversions are executed as two linked commodity trades: a sell-back of the existing metal and an immediate purchase of the new metal at prevailing market prices.

Conversions may result in fractional holdings and are subject to applicable spreads and service fees. All conversion transactions are considered final and binding once executed.

9. Fees and Charges

Baysart Gold charges fees for certain services, including but not limited to:

  • Purchase transaction fees (spread between buy and sell prices)
  • Sale transaction fees (buyback fees)
  • Monthly custody and storage fees (if applicable)
  • Physical pickup and delivery fees (if applicable)

Current fee schedules are available within the App. We reserve the right to modify fees with reasonable advance notice.

10. Precious Metals Buyback (Sale)

You may sell your precious metals back to Baysart Gold at any time: Sell-back market liquidity depends on availability. Price executed at moment of confirmation. No guaranteed repurchase obligation.

  • Buyback prices are based on current market rates less applicable fees
  • Proceeds are transferred directly to your registered bank account
  • Buyback transactions are typically processed within 24 hours
  • We reserve the right to verify ownership before processing buyback requests
  • Partial sales are permitted (minimum quantities may apply)

11. Physical Precious Metals Pickup and Delivery

Subject to availability and applicable fees, you may request physical delivery of your owned precious metals:

  • Delivery requests must be submitted in advance with proper identification
  • Minimum quantities may apply for physical pickup
  • Delivery fees and insurance costs will be charged separately
  • Processing time varies based on location and quantity
  • Precious metals will be provided in the form of recognized bullion bars or coins
  • You are responsible for safe transport and storage after delivery

12. Security

You are responsible for maintaining the security of your Profile. Use strong passwords and enable two-factor authentication where available. Baysart Gold will never ask for your password. Report any unauthorized access immediately to our support team.

13. Prohibited Activities

Users may not:

  • Engage in fraudulent or deceptive practices
  • Use the platform for illegal purposes or money laundering
  • Attempt to circumvent security measures or KYC requirements
  • Create multiple accounts to abuse promotions or bypass limits
  • Share Profile credentials with others
  • Manipulate prices or engage in market abuse
  • Resell gold purchased through the platform for commercial purposes without authorization

13A. Account Monitoring and Risk-Based Restrictions

Baysart Gold employs automated and manual monitoring systems to detect unusual or potentially suspicious activity on user accounts. This is done to protect users, maintain platform integrity, and comply with applicable laws and regulations.

The following types of activity may trigger a risk review:

  • Unusually large or frequent transactions relative to your account history
  • Rapid buying and selling patterns that may indicate market manipulation
  • Transactions flagged by our automated fraud detection systems
  • Activity inconsistent with your stated profile or usage patterns
  • Transactions involving sanctioned jurisdictions or entities

If your account is flagged for review, the following restrictions may be applied temporarily:

To resolve a risk flag, you may be required to complete a security questionnaire providing additional information about your transactions and intended use of the platform. Failure to complete the questionnaire within the specified timeframe may result in continued restrictions.

Baysart Gold aims to review flagged accounts and resolve restrictions as quickly as possible, typically within 1–5 business days after receiving a completed questionnaire.

You will be notified via email and/or in-app notification if your account is flagged and when restrictions are lifted. You retain full ownership of your precious metals holdings during any restriction period.

  • Suspension of buy and/or sell capabilities
  • Temporary hold on payout processing
  • Restriction on physical pickup requests
  • Limitation on transaction amounts

14. Limitation of Liability

Baysart Gold is provided "as is" without warranties of any kind. We are not liable for:

  • Price fluctuations in gold market rates
  • Technical failures, service interruptions, or system downtime
  • Unauthorized Profile access due to user negligence
  • Delays in processing transactions due to verification requirements
  • Third-party service provider failures
  • Indirect, incidental, or consequential damages
  • Force Majeure: The Executor is not liable for delays or failures resulting from force majeure events, including war, sanctions, regulatory changes, or vault closures.

Our maximum liability is limited to the current market value of precious metals in your custody.

15. Storage, Insurance and Vault Security

Allocated Gold is stored by a designated Custodian / Storage Partner in secure vault facilities. Physical storage risks are managed by the storage partner in accordance with applicable agreements.

The Company is not responsible for vault-level physical risks.

  • Storage is insured by the Custodian's providers subject to their policy terms.
  • We maintain best practices for integrating with the Custodian, but we do not guarantee absolute safety or protection against force majeure events.

16. Profile Termination

We reserve the right to suspend or terminate your Profile at any time for violation of these terms, suspicious activity, or regulatory requirements. Upon termination:

In the event the Platform ceases operation, ownership of Allocated Gold remains unaffected.

Platform Termination: In the event of platform shutdown, Users retain full ownership of their allocated metals, which remain claimable and will be delivered or transferred accordingly.

  • You may arrange for physical delivery of owned gold (subject to fees)
  • All transactions must comply with verification and compliance procedures
  • Custody fees may continue to accrue until gold is delivered or sold

17. Modifications to Terms

Baysart Gold may modify these terms at any time. Continued use of the App after changes constitutes acceptance of modified terms. We will notify users of material changes via email or in-app notification at least 14 days before changes take effect.

18. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of Azerbaijan. Any disputes shall be resolved through:

1. Good faith negotiation between the parties

2. Mediation, if negotiation fails

3. Binding arbitration in Baku, Azerbaijan, if mediation is unsuccessful

You retain the right to pursue claims in local courts for consumer protection matters as permitted by law.
